By accessing or using the Product, you agree to be bound by these Terms. If you do not agree, you may not use the Product.

2. Scope of Use

• The Product is made available exclusively for business use (B2B).

• The Product is licensed, not sold.

• Any reproduction, modification, distribution, or reverse engineering of the Product is prohibited, unless explicitly permitted in writing by BITECC GmbH.
  
  

3. Acceptable Use Policy

You agree not to use the Product in any manner that:

• Violates applicable laws or regulations.

• Infringes the rights of third parties.

• Introduces viruses, malware, or other harmful code.

• Attempts to gain unauthorized access to the Product or related systems.

• Harms the integrity, performance, or availability of the Product.

4. Account Responsibility

• If the Product requires account creation, you are responsible for maintaining the confidentiality of your account credentials.

• You are fully responsible for all activities that occur under your account.

• You must immediately notify BITECC GmbH of any unauthorized use of your account.

5. Product Availability and “As-Is” Disclaimer

• The Product is provided “as is” and “as available”, without any warranties of any kind, whether express or implied.

• BITECC GmbH does not guarantee that the Product will be error-free, uninterrupted, or free from security vulnerabilities.

• Users assume all risks arising from their use of the Product.

6. Payment Terms

• Fees for the Product are payable annually in advance.

• Renewal payments must be made no later than two (2) weeks before the new contract period begins.

• Invoices are due upon receipt unless otherwise agreed in writing.

7. Termination and Suspension

• BITECC GmbH reserves the right to suspend or terminate access to the Product if a user violates these Terms, fails to pay fees on time, or uses the Product in a harmful or unlawful way.

• Upon termination, all rights to use the Product immediately cease.
  
  

8. Limitation of Liability

• To the maximum extent permitted by law, BITECC GmbH shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use the Product.

• Liability for intent or gross negligence remains unaffected.

9. Intellectual Property

• All intellectual property rights related to the Product, including software, logos, trademarks, and documentation, remain the property of BITECC GmbH or its licensors.

• No rights are transferred to users except for the limited license to use the Product under these Terms.

10. Data Protection

The processing of personal data in connection with the Product is governed by the Privacy Policy of BITECC GmbH, available on the company’s website.

11. Force Majeure and Compliance with Laws

• BITECC GmbH shall not be liable for any failure or delay caused by events beyond its reasonable control (including but not limited to natural disasters, labor disputes, power outages, network failures, government actions, or pandemics).

• The Product may not be used in violation of applicable export control laws, trade sanctions, or embargo regulations of Germany, the European Union, or other relevant jurisdictions.

• Users warrant that they are not subject to sanctions that would restrict their use of the Product.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. Dispute Resolution and Jurisdiction

• The parties shall make good faith efforts to resolve disputes amicably through negotiation before resorting to legal action.

• These Terms are governed by the laws of the Federal Republic of Germany.

• The exclusive place of jurisdiction is Osnabrück, Germany.
  
  

14. Changes to the Terms

BITECC GmbH reserves the right to update or modify these Terms at any time. Continued use of the Product after changes constitutes acceptance of the revised Terms.
